Terms of Service for UnifyLeads

Thank you for your interest in UnifyLeads ("UnifyLeads", "we", "us", or "our"). By registering for an account or by accessing or using any UnifyLeads services ("Services") available via our websites and/or mobile applications ("App"), you agree to be bound by all the terms and conditions ("Terms") of this Terms of Service Agreement ("Agreement").

If you are using the Service on behalf of a company, organization, or other entity ("Company"), you are agreeing to these Terms for that Company and representing to us that you have the authority to bind that Company to this Agreement. In that case, the terms "you" and "your" will refer to you and that Company.

1. Subscription and Pricing

• Free Trial: When you register an account, you will receive a free trial period of 14 days (unless stated otherwise). No payment details are required for the free trial. Your trial account will expire automatically if you do not choose to subscribe to a paid plan. There is no need to cancel your trial if you do not wish to continue.
• Subscription Plans: Should you choose to subscribe, the Subscription Fee for your selected plan will be charged at the end of the free trial period. Fees are charged in full and in the currency specified at the time of purchase. Your Subscription Fee will remain fixed for the duration of the Subscription Term.
• Usage-Based Add-ons: Certain features, such as premium API access, bulk messaging credits, or advanced integrations ("Metered Features"), may incur additional charges based on your usage. These charges are separate from your base Subscription Fee and will only apply if you activate and utilize these features. All ongoing Metered Features will be disabled if your base subscription is cancelled or lapses.
• Payment & Authorization: By providing a payment method (e.g., credit card), you authorize us and our third-party payment processors to charge your payment method for all fees payable during your Subscription Term. You are responsible for providing complete and accurate billing and contact information to us.
• Renewal & Cancellation: Your subscription will automatically renew at the frequency specified in your plan (e.g., monthly or annually) until it is cancelled. You may cancel your subscription at any time from within your account settings or by contacting support. If you cancel, your subscription will remain active until the end of your then-current paid term, and you will not be billed further.

2. Your Data and Privacy

• Your Data: Through the Services, you can import, create, and manage information about your leads and clients. This data, along with any other information submitted by or for you to the Services, is referred to as "Your Data".
• Data Ownership: You retain full ownership and control over Your Data at all times. We will never sell, share, or rent Your Data to any third party for their own marketing purposes.
• Our Use of Your Data: We use Your Data solely to provide, maintain, secure, and improve our Services for you. This includes troubleshooting issues, analyzing usage to enhance functionality, providing customer support, and keeping our platform safe.
• Legal Disclosure: We may disclose Your Data if required by law, such as in response to a valid subpoena, court order, or other legal process. We will strive to notify you of such requests unless legally prohibited from doing so.
• Data Deletion: You may request the deletion of Your Data and your account at any time by sending an email to hello@unifyleads.com. Upon deletion, your data will be permanently removed from our live systems. Deleted information may be retained in our secure, encrypted backups for up to 90 days for disaster recovery purposes only.

3. Security

• Data Security: We implement robust security measures to protect Your Data. This includes end-to-end encryption for data in transit (TLS 1.3) and encryption at rest for data in our databases (AES-256).
• Account Security: You are responsible for maintaining the security of your account. Our login process may use secure methods like one-time passwords (OTP). You are solely responsible for controlling access to your account and any devices used to access it.

4. Intellectual Property Rights

• Our Intellectual Property: We retain all rights, title, and interest in and to the Services, including all related software, logos, trademarks, and content provided by UnifyLeads. This Agreement does not grant you any rights to use our branding or logos without our prior written consent.
• Your License to Us: You grant us a worldwide, non-exclusive, royalty-free license to host, use, process, and display Your Data solely for the purpose of operating, improving, and providing the Services to you in accordance with this Agreement.

5. Third-Party Services

The Services may interoperate with online services operated by third parties ("Third-Party Services") through APIs or other integrations. These integrations are subject to the terms and policies of the respective third-party Operators. We are not responsible for and shall have no liability with respect to any modification, suspension, or termination of any Third-Party Services or their APIs.

6. Acceptable Use Policy

As a condition of your use of the Service, you agree not to use the Service for any purpose that is unlawful or prohibited by this Agreement. You may not:

• Use the Service in any manner that could damage, disable, overburden, or impair it.
• Attempt to gain unauthorized access to the Service or its related systems or networks.
• Use false or misleading information in connection with your account.
• Use the Service to send spam or any unsolicited communications.
• Reverse engineer, decompile, or otherwise attempt to discover the source code of the Service.

We reserve the right to suspend or terminate any account that we believe, in our sole discretion, is violating these terms.

7. Modification and Termination

• By Us: We reserve the right to modify, update, or discontinue our Services at any time. We may also suspend or terminate your right to access our Services at any time without notice if you are found to be in violation of these Terms.
• By You: You may terminate this Agreement at any time by deleting your account and ceasing all use of the Services.

8. Limitation of Liability & Indemnification

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL UNIFYLEADS, ITS AFFILIATES, DIRECTORS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, OR OTHER INTANGIBLE LOSSES, THAT RESULT FROM THE USE OF, OR INABILITY TO USE, THIS SERVICE.

You agree to defend, indemnify, and hold harmless UnifyLeads and its affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from your use of and access to the Service, or your violation of any term of this Agreement.

9. Dispute Resolution & Arbitration

Any dispute, claim, or controversy arising out of or relating to this Agreement shall be referred to and finally resolved by arbitration administered in [City, Country, e.g., Kolkata, India]. The arbitration will be conducted in accordance with the rules of [Arbitration Body, e.g., The Indian Arbitration and Conciliation Act, 1996] for the time being in force. The language of the arbitration shall be English.

10. Applicable Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of [Your Company's Jurisdiction, e.g., India], without regard to its conflict of law provisions.

11. Changes to Terms

We may modify these Terms from time to time. We will provide notice of any material changes, such as by sending an email or displaying a prominent notice within the Service. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the new Terms.
